These Terms of Service ("Terms") govern your use of the TaxBox website at taxbox.ae and the accounting, bookkeeping, VAT, corporate tax and CFO services we provide ("Services"). TaxBox is part of the Lynchpin group of companies and operates from DWTC, Dubai, United Arab Emirates. By using our website or engaging us, you agree to these Terms.
1. About us
TaxBox ("we", "us" or "our") is a UAE-based provider of accounting and tax services. Our work is led by qualified FCA and ACCA professionals and delivered in line with Federal Tax Authority ("FTA") requirements and IFRS standards.
2. Use of our website
You may use our website for lawful purposes only. You agree not to:
- misuse the site, attempt to gain unauthorised access, or interfere with its operation;
- copy, scrape, redistribute or commercially exploit our content without our written permission;
- use the site in any way that breaches UAE law or any applicable regulation.
We may change, suspend or discontinue parts of the website at any time.
3. Information on the website
The content on our website is provided for general information only. It does not constitute accounting, tax, legal or financial advice and should not be relied on as such. Engaging us under a written proposal is the only way to receive advice tailored to your business.
4. Consultations, quotes and proposals
Requesting a consultation or quote does not by itself create a client relationship. A client relationship is formed only once we issue you a written proposal or engagement letter for specific Services and you accept it in writing (which includes email).
Pricing shown on our website (for example on the pricing or instant-quote pages) is indicative. Your final fee is confirmed in your engagement letter and may vary based on the scope of work, transaction volumes, complexity, and any third-party software costs (such as Zoho Books) that are not included in our fees.
5. Your responsibilities as a client
To deliver Services accurately and on time we need your cooperation. You agree to:
- provide complete, accurate and timely information, records and documents we request;
- respond to our queries promptly so we can meet FTA and other regulatory deadlines;
- notify us of any changes that may affect your tax or accounting position;
- comply with all applicable laws and regulations, including AML/KYC requirements.
You are responsible for the accuracy of the information you provide. We are not liable for penalties, losses or delays caused by incomplete, late or inaccurate information from you, or by your failure to follow our advice.
6. Fees and payment
Fees, invoicing and payment terms are set out in your engagement letter. Unless otherwise agreed, fees are payable in AED and become due as stated on the invoice. Where Services are delivered on a recurring basis, fees continue until either party terminates as described in your engagement letter. Late payment may result in suspension of Services and recovery of reasonable costs incurred.
7. Third-party software and providers
We commonly deliver engagements on Zoho Books and may use other third-party tools as part of our work. The cost of third-party software is not included in our fees unless explicitly stated. Your use of third-party platforms is also subject to their own terms.
8. Intellectual property
All content on our website, including text, graphics, logos and trademarks, is owned by TaxBox or our licensors and is protected by intellectual property laws. You may not reproduce or use it without our written permission. Work product we deliver to you under an engagement (such as reports, templates and analyses) is licensed to you for your internal business use, while we retain ownership of our underlying know-how and templates.
9. Confidentiality
We treat client information as confidential and only use it for the purpose of providing Services or as required by law. Our handling of personal data is described in our Privacy Policy.
10. Disclaimers
The website is provided "as is" without warranties of any kind, express or implied, including warranties of accuracy, fitness for a particular purpose or non-infringement. While we work hard to ensure our content is correct and up to date, tax and accounting rules change and we make no guarantee that the information on the website is complete or current.
11. Limitation of liability
To the maximum extent permitted by law, TaxBox (and the wider Lynchpin group, our team and our subcontractors) will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, business opportunities, goodwill or data, arising out of or in connection with the use of our website or our Services.
For Services delivered under an engagement, our total aggregate liability is capped at the amount of fees you have paid us for the specific Services giving rise to the claim in the twelve months immediately before the event causing the liability, unless a different cap is agreed in your engagement letter.
Nothing in these Terms excludes liability that cannot be excluded under UAE law.
12. Indemnity
You agree to indemnify and hold harmless TaxBox and our group companies, officers and team from claims arising from your breach of these Terms, your misuse of the website, or inaccurate or incomplete information you provide to us.
13. Termination
We may suspend or terminate your access to the website at any time if we reasonably believe you have breached these Terms. Termination of Services under an engagement is governed by your engagement letter.
14. Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of our website, without prejudice to any specific dispute-resolution clause in your engagement letter.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above shows when they were last changed. Continued use of the website after changes means you accept the updated Terms.
